2002~2015年高达19.49%的上市公司选择与存在董事联结的公司进行并购。本书立足这一背景,首先系统考察了并购双方的董事联结对并购交易前期的并购目标选择、并购交易中期的并购溢价支付和并购交易后期取得的并购绩效的影响,明确了非正式的关系机制——董事联结促进并购价值创造的作用机理;其次基于组织学习视角分析了促进董事联结功能有效发挥的影响因素,探索性地对并购价值效应进行了评价,丰富了董事联结与并购价值效应领域的相关研究。
